What's the diff between these two CPU's?

I was looking at Intel Quad core CPU's and was wondering what the real
difference is. other than one being Xeon, which I thought was
supperior, the specs look the same and the price about the same. Also
which one would be better for overclocking?

X3220 I presume? You mean aside from being designed with different chipsets
and motherboards in mind? My view is why throw another potential problem
into the mix when you plan to overclock.
